Ktronics Pty Ltd, trading as Ktronics Electronic Security Solutions, is a Sydney-based commercial electronic security business operating under NSW Master Licence 102039 and ASIAL Gold membership. We design, install, monitor, and maintain access control, intercoms, alarms, video surveillance, and integrated security systems for Australian businesses.
In these terms, "Ktronics", "we", "us", and "our" refer to Ktronics Pty Ltd. "You" refers to the business or person engaging Ktronics for services or using this website.
2. About these terms
These terms apply in two ways. First, they govern your use of this website. Second, they form the baseline for any commercial engagement you enter into with Ktronics. If we issue you a quote, work order, service contract, or other written agreement, that document takes precedence over these terms wherever the two are inconsistent.
We may update these terms from time to time. The "Last updated" date at the top reflects the most recent change. Continued use of the website after a change indicates acceptance of the updated terms.
3. Use of this website
The content on this website is published in good faith for general information. It is not advice tailored to your site, your sector, or your compliance obligations. Pricing ranges, retention recommendations, and capability descriptions are indicative; the right specification for your business comes out of a site walk-through and a written quote, not the website.
All written content, photographs, diagrams, schemas, and code on this site are owned by Ktronics or used with permission. You may view, print, and forward our content for non-commercial business research purposes. You may not republish, sell, modify, or systematically extract content without our written consent.
The website may link to third-party sites (manufacturer pages, industry bodies, professional resources). Those links are provided as a convenience. We are not responsible for the content, accuracy, practices, or policies of third-party sites.
4. Quotes and engagement of services
A quote from Ktronics is an offer to provide the scope of work described in that quote, valid for the period stated on the quote (typically 30 days from issue). A quote becomes a contract once you accept it in writing (signed acceptance, purchase order, or written confirmation by email).
The contract between us is made up of: the accepted quote, any associated specifications and drawings, our written service or maintenance agreement (where applicable), and these terms. Where any of these documents conflict, the order above is the order of precedence (accepted quote first, these terms last).
Variations to the agreed scope (for example: additional doors, extra cameras, change of cabling pathway, change of head-end equipment) will be quoted separately in writing before the work is performed. We will not proceed with variations that materially change cost or timeline without your written approval.
5. Payment terms
Unless otherwise agreed in writing on the quote, our standard payment terms are:
- A deposit of 30% of the quoted price on acceptance of the quote, before equipment is ordered.
- Progress claims at agreed milestones for projects over $20,000.
- Final invoice on practical completion, payable within 14 days.
- Service and maintenance contract fees billed monthly or annually in advance.
Overdue invoices may attract interest at 2% per month (or part thereof) on the outstanding balance, calculated daily. Recovery costs we incur in collecting overdue amounts are payable by you.
Title to equipment supplied by us does not pass to you until the related invoice is paid in full. We retain a security interest in unpaid equipment under the Personal Property Securities Act 2009 (Cth) and may register that interest on the PPSR.
6. Workmanship and equipment warranty
We warrant that work performed by Ktronics technicians will be carried out with reasonable skill and care, in accordance with the relevant Australian Standards, and to the requirements of the NSW Security Industry Act 1997. Defects in our workmanship reported within 12 months of practical completion will be rectified at no charge.
Equipment we supply carries the manufacturer's warranty (typically one to three years, varying by product). We will support warranty claims with the manufacturer on your behalf and replace or repair defective equipment in line with the manufacturer's terms.
Warranty does not cover: damage caused by misuse, modification by third parties, power surges, lightning, water damage outside the equipment's rated environment, force majeure events, or normal wear and tear of consumable items (batteries, lamps, cleaning materials).
7. Service and response times
Where you have an active service or maintenance contract with us, response times are governed by that contract. Standard response times referenced on this website (for example, "next business day" or "4 hours") are guidelines and only become contractual commitments when written into a signed agreement.
Emergency response (for sites with monitored alarm panels) operates around the clock through our 24/7 monitoring control room on 1300 621 006. Emergency call-out fees and after-hours rates apply where the contract does not include them.
8. Site access and your obligations
To deliver our services, we need: safe and timely access to the work areas, accurate information about the building (including known hazards), nominated points of contact authorised to make decisions on your behalf, and reasonable cooperation with any compliance, safety, or operational protocols we propose.
Delays caused by site access issues, late information, or unapproved variations may attract additional charges. We will notify you in writing before charging for delay-related costs.
9. Intellectual property
Designs, drawings, schedules, specifications, and configuration files we produce in the course of an engagement remain the intellectual property of Ktronics. Once your invoice is paid in full, you receive a perpetual, royalty-free licence to use those materials for the purpose of operating, maintaining, and updating the security system we delivered.
Where you supply us with information (floor plans, asset registers, cardholder lists, operational procedures), that information remains yours. We will only use it to deliver the services you engage us for, and we handle it in accordance with our Privacy Policy.
10. Confidentiality
Both parties will treat the other's commercial, technical, and operational information as confidential and will not disclose it to third parties without consent, except where required by law, regulator, or in the course of delivering the engaged services (for example, to a manufacturer for a warranty claim).
Ktronics does not publish client names without written permission. Anonymised case studies sometimes describe sectors, scope, and outcomes for marketing purposes; client-identifying information is withheld unless you specifically authorise it in writing.
11. Limitation of liability
Nothing in these terms excludes, restricts, or modifies any rights or remedies you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded.
Subject to the paragraph above, our total liability to you for any claim arising out of or in connection with the services (whether in contract, tort, statute, or otherwise) is limited at our option to: re-supply of the relevant services, payment of the cost of having the relevant services re-supplied, or a refund of the amount paid for the relevant services. In no case will our total aggregate liability exceed the amount you have paid us under the relevant engagement in the 12 months preceding the claim.
We are not liable for indirect, consequential, or special losses, including loss of profit, revenue, business opportunity, data, or goodwill, even if those losses were foreseeable.
Electronic security systems reduce risk; they do not eliminate it. No installer can guarantee that an alarm will always activate, that a camera will always capture usable footage, that monitored response will always prevent loss, or that a system will never be defeated by a determined attacker. You acknowledge this in engaging us.
12. Insurance
Ktronics holds public liability insurance, professional indemnity insurance, and product liability insurance to industry-standard levels. Certificates of currency are available on request.
13. Termination
Either party may terminate a service or maintenance contract by giving the notice period specified in that contract (typically 30 days). Where no notice period is specified, 30 days written notice applies.
Either party may terminate immediately if the other materially breaches these terms or the underlying contract and fails to remedy the breach within 14 days of written notice.
On termination, you remain liable for: amounts invoiced and unpaid at the date of termination, work performed and equipment supplied up to that date, and any non-cancellable supplier commitments we have made on your behalf.
14. Privacy
Personal information collected through this website or in the course of providing services is handled in accordance with our Privacy Policy. Where we install or monitor systems that capture personal information about people on your site (cardholders, visitors, footage subjects), the operator of the site is the data controller; we act on your behalf and in line with the contract.
15. Force majeure
Neither party is liable for failure or delay in performing obligations caused by events beyond reasonable control, including: natural disasters, pandemics, government action, industrial action, failure of utilities, supplier default, or cyber incidents. The affected party will notify the other promptly and will use reasonable efforts to resume performance.
16. Dispute resolution
If a dispute arises, both parties agree to first try to resolve it through good-faith negotiation. If that fails within 30 days, the parties will attempt mediation through the Resolution Institute (resolution.institute) before commencing court proceedings, except where urgent injunctive relief is required.
17. Governing law and jurisdiction
These terms are governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales and the relevant federal courts.
18. General
If any part of these terms is found to be unenforceable, that part will be severed and the remaining terms will continue to apply. A failure or delay by either party in exercising a right does not constitute a waiver of that right. These terms (together with any accepted quote, signed agreement, and our Privacy Policy) constitute the entire agreement between the parties relating to the subject matter and supersede any prior representations.
